DESCRIPTION OF MARKETING PLAN SERVICES:
Directive / JoomConnect (referred to as Directive through the rest of this document) will provide the following service(s) (collectively, the “Services”): Creation of a detailed, 12-month plan of marketing initiatives that are designed specifically for your company.
CONFIDENTIALITY:
In developing the marketing plan, it is understood that Directive will need access to the following information:
a. Financial Data
i. Revenue Information
ii. Budget
b. Service/Product Details
c. Vendors
d. Affiliations/Peer Groups
e. Current Clients/Prospects
f. Current marketing Initiatives
g. All other proprietary information (collectively, “Information”) which we deem valuable or special.
At Directive, we understand that your information is an asset that belongs to your company and needs to be protected from improper disclosure. In consideration for the disclosure of this information, we agree that Directive will not at any time, or in any manner, either directly or indirectly, use any of this information for Directive’s own benefit. We will not divulge, disclose, or disseminate said information to any third party entity without the express written consent of your company. Directive will protect any information provided by your company, and treat said information as strictly confidential.
NEW PROJECT APPROVAL:
Your company, as well as Directive, recognize that Directive’s Marketing Services do not include projects, services, or solutions to which there has been no previous agreement. All additional projects, including those recommended for implementation by the Services, will be considered new projects, and will be subject to new guidelines. All commissioned work that is not covered under the current agreement, will be completed by Directive within the guidelines of a separate agreement.
PROOFING OF WORK:
All work completed by Directive should be reviewed by your company. Once the completed work has been approved, Directive is not liable for discrepancies in formatting, content, or misrepresentation that may be considered after the accepted completion of approved work..
RESULTS NOT GUARANTEED:
Directive does not provide warranty, nor does it guarantee the success of their Marketing Plan Service. Each plan is customized for your company using the information that has been made available to Directive. With this considered, Directive will not be liable or otherwise responsible for returning payments rendered or compensate your company in any way for losses or expected gains.
LIABILITY: In no event shall either party be liable for any consequential damages, even if either party knew or should have known of the possibility thereof.
Directive reserves the right to modify this policy at any time. Any modifications, additions, or removals shall become effective immediately upon the announcement of the modification.
